Articles of Association and EGM Notice
Dear Members,
The General Committee have reviewed the draft Articles of Association and Memorandum for the proposed limited company by guarantee. The alterations highlighted by the review have been made by our solicitors, FBC Manby Bowdler, and an amended copy of the Articles of Association and Memorandum produced.
A copy of both these amended documents has been attached to this email or will be posted to those who receive their notifications by post.
Please read through the documents carefully. If you have any comments or observations, please email or address them to our secretary John Reynolds at John Reynolds copiplan93@yahoo.com
John is co-ordinating the responses whilst I am on holiday and together with our treasurer, Graham Loader, will reply to your points.
The Extraordinary General Meeting (EGM) is arranged for 8.15pm on November 28th 2019 in the Studio. The only items of business at the EGM will be to discuss and vote upon the adoption of the proposed Articles of Association and Memorandum and then to formally approve the change in the club’s status from an unincorporated association to a company limited by guarantee.
As explained previously, these changes are significant but, in the opinion of the General Committee necessary to safeguard the future of the club and the members. Please try and attend the EGM as your views and opinions are important.
